Foreign qualification (also called foreign registration) is the process of registering your business entity to operate in a state other than where it was originally formed. The word 'foreign' refers to out-of-state, not international. For example, a Delaware LLC doing business in California needs to foreign qualify in California.
Generally, you need to foreign qualify if you have a physical presence (office, employees, inventory) in another state, regularly conduct business there, or have tax obligations in that state. Each state defines 'doing business' differently. Our compliance team can analyze your situation and advise which states require registration.
Formation (domestic filing) creates your entity in its home state. Foreign qualification registers an existing entity to do business in additional states. You form once but may need to foreign qualify in multiple states as your business expands.
Standard processing takes 1-4 weeks depending on the state. We first obtain a Certificate of Good Standing from your home state (1-3 days), then file the application in the new state. Expedited processing is available in most states for an additional fee.
