Terms of Service

Please read these Terms of Service ("Terms") carefully before using the services provided by Corporate Legal Services, LLC ("CLS," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Services Overview

CLS provides corporate compliance and registered agent services, including but not limited to:

• Registered agent services in all 50 states and the District of Columbia
• Entity formation (LLC, Corporation, Nonprofit, etc.)
• Annual report filing and compliance management
• Foreign qualification services
• Business license research and procurement
• Compliance audits and consulting
• Document forwarding and management

2. Eligibility

By using our services, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. If you are using our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To use certain services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your account credentials confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. Registered Agent Services

When you engage CLS as your registered agent:

• We will maintain a physical address in the designated state(s) during normal business hours
• We will accept service of process and official government correspondence on your behalf
• We will forward all received documents to you within one (1) business day of receipt via your preferred method
• You agree to maintain current contact information for document forwarding
• You understand that failure to respond to legal documents may result in default judgments against your entity

Important: CLS is not a law firm and does not provide legal advice. We recommend consulting with an attorney regarding any legal documents received through our registered agent services.

5. Filing Services

For entity formation, annual reports, and other filing services:

• You are responsible for providing accurate and complete information for all filings
• Processing times depend on the respective state agency and are not guaranteed
• State filing fees are separate from our service fees and are subject to change by the state
• We are not responsible for delays caused by state agency backlogs, incomplete information, or rejected filings
• Rush or expedited processing, where available, incurs additional fees

6. Fees and Payment

Service Fees

• Our fees are as quoted at the time of service or as listed on our pricing page
• Registered agent services are billed annually in advance
• Filing services are billed at the time of order
• State filing fees are collected in addition to our service fees

Payment Terms

• Payment is due at the time of service unless otherwise agreed in writing
• We accept major credit cards, ACH transfers, and wire transfers
• Late payments may result in suspension of services
• You are responsible for all applicable taxes

Refunds

Service fees are generally non-refundable once work has commenced. State filing fees are non-refundable once submitted to the state. For registered agent services, pro-rated refunds may be available within the first 30 days if no documents have been received.

7. Client Responsibilities

You agree to:

• Provide accurate and complete information for all services
• Respond promptly to requests for information or clarification
• Maintain current contact information, including email and mailing addresses
• Review all documents and filings for accuracy before submission
• Comply with all applicable laws and regulations
• Not use our services for any illegal or fraudulent purpose

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless CLS and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any inaccurate information you provide to us.

10. Termination

Either party may terminate services:

• By providing 30 days written notice for registered agent services
• Immediately for material breach of these Terms
• Immediately for non-payment of fees

Upon termination of registered agent services, you must designate a new registered agent with the state. Failure to do so may result in your entity falling out of good standing. We will continue to forward any documents received for 30 days after termination.

11. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of CLS or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

12. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. CLS IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. THE INFORMATION PROVIDED THROUGH OUR SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSTRUED AS LEGAL ADVICE.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in Orange County, California, in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.

14. Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of our services after such changes constitutes your acceptance of the modified Terms. We will notify you of material changes via email or through our website.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and CLS regarding our services.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations freely.
